Leverkusen, 09 June 2009 - The executive board of Biofrontera (ISIN:
DE 0006046113) has decided today, with approval of the supervisory
board, to emit an option bond with a total nominal value of up to
Euro 10,000,000.00, divided into up to 100,000 partial debentures,
each with a nominal value of Euro 100.00 and five (5) detachable
option rights to buy, for 5 Euros, one ordinary Biofrontera share
with a base value of 1 Euro (totalling up to 2,500,000.00 Euro). The
instrument was authorized by the extraordinary shareholder meeting of
March 17, 2009, and expires on December 31, 2017. The shareholders
will be given a subscription right that will be excluded for
fractional amounts.

Partial debentures, which will not be purchased through the
subscription right, will be offered to the holders of the Biofrontera
8% convertible bond 2005/2010 as part of a plan to restructure this
instrument. Details of the restructuring package will therefore be
published subsequently to the period of the subscription right. In
relation to the restructuring package the company will most likely
organize an assembly of the holders of the convertible bond
2005/2010.
