With effect from 16 November 2009 the previous majority shareholder
of BÖWE SYSTEC AG, Wanderer-Werke AG, transferred its 50.1% holding
of ordinary shares in BÖWE SYSTEC AG to Böwe Systec Treuhand GmbH &
Co. KG which is intended to manage and utilize the shares first and
foremost in the interests of the creditors of Wanderer-Werke AG and
consequently of Wanderer-Werke AG itself.

The transfer was made releasing Böwe Systec Treuhand GmbH & Co. KG
from the obligation to submit a mandatory offer in accordance with §
35 WpÜG ( German Securities Acquisition and Takeover Act) through
BaFin. Under the exemption decision Böwe Systec Treuhand GmbH & Co.
KG may not exercise the voting rights derived from the shares in BÖWE
SYSTEC AG insofar as it achieves or exceeds a 30% share of the voting
rights in BÖWE SYSTEC AG.
